Terms of Service

These Terms of Service (“Terms”) govern access to and use of Keyada, including the website, mobile application, connected services and related support (the “Service”). By creating an account, purchasing a subscription or using the Service, you agree to these Terms on behalf of yourself and, where applicable, the organisation you represent (“Customer” or “you”).

1. The Service

Keyada is a business-improvement service that may analyse authorised connected business information, identify opportunities, explain recommendations, support approved actions and record measured outcomes. Available capabilities depend on the plan, release version, connected provider and permissions granted.

2. Accounts and authority

You must provide accurate account information, protect login details and promptly notify us of suspected unauthorised access. You confirm that you have authority to connect each business system, provide information to Keyada and approve actions for the relevant organisation. You are responsible for the activity of authorised users on your account.

3. Recommendations and decisions

Keyada provides decision support, not a substitute for professional legal, tax, accounting, employment, investment or other regulated advice. Recommendations depend on the information available and may contain assumptions or uncertainty. You remain responsible for reviewing recommendations, considering your circumstances and making business decisions.

4. Approved actions

Keyada will not intentionally begin a provider-changing action unless an authorised user has approved the relevant plan. Before approval, the Service aims to show what is proposed, where the change will occur and material safeguards or review points. You are responsible for checking the scope of an action before approval and for any customer, employee or third-party communication you approve for release.

Connected providers may reject, delay, alter or fail to complete an operation. Where supported, Keyada records provider responses and outcomes, but cannot guarantee the availability or performance of a third-party service.

5. Subscriptions, pricing and payment

Paid plans are billed in the currency, amount and cadence shown at purchase. Unless stated otherwise, subscriptions renew for the same billing period until cancelled. Taxes may be added where required. Plan limits and included capabilities are described at purchase and may be updated for future billing periods with reasonable notice.

Founding access or trial participation may have separate eligibility, duration or onboarding conditions communicated when offered. Future capabilities labelled “Version 2” are not included in the launch Service until Keyada confirms their availability.

6. Acceptable use

You must not:

  • use the Service unlawfully or to harm another person;
  • connect systems or information without proper authority;
  • attempt to bypass access controls, approvals, rate limits or technical safeguards;
  • reverse engineer or interfere with the Service except where the law expressly permits it;
  • submit malicious code or use the Service to send unlawful or unsolicited communication; or
  • use the Service in a manner that materially disrupts other customers or our providers.

7. Customer information and privacy

You retain your rights in information you provide or connect. You grant Keyada the rights needed to host, process, transmit and use that information to provide, support and improve the Service. You are responsible for obtaining any notices, permissions and lawful basis required for business and personal information supplied to the Service. Our handling of personal information is described in the Privacy Policy.

8. Keyada intellectual property

Keyada and its licensors retain all rights in the Service, brand, software, models, interfaces, documentation and underlying methods. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during the subscription.

9. Availability and changes

We work to provide a reliable Service, but do not promise that it will always be uninterrupted or error-free. We may improve, replace or discontinue features. If a material change substantially reduces a paid plan’s core functionality, we will provide reasonable notice where practicable.

10. Suspension and termination

You may stop using the Service and cancel a subscription in accordance with the cancellation process provided. We may suspend or terminate access for material breach, non-payment, security risk, unlawful use or conduct that threatens the Service or others. Where reasonable, we will provide notice and an opportunity to remedy a breach.

11. Disclaimers and liability

To the extent permitted by law, the Service is provided “as is” and “as available”. We do not guarantee a particular financial, operational or commercial result. Neither party is liable for indirect, incidental, special or consequential loss, or loss of profit, revenue, goodwill or data, except where liability cannot lawfully be excluded.

To the extent permitted by law, Keyada’s aggregate liability arising from the Service is limited to the fees paid by the Customer for the Service during the six months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Governing law

These Terms are governed by the laws of New Zealand. The parties submit to the non-exclusive jurisdiction of the New Zealand courts. If a dispute arises, both parties agree to first try to resolve it through good-faith discussion.
